$ASTRA Token Terms, Risk Disclosure & Legal Notice
Last Updated: 20 September 2026
This Token Disclaimer, together with any policies, migration terms, program-specific terms, notices or agreements expressly incorporated by reference (collectively, the “Token Terms”), governs access to, acquisition of, holding of, interaction with, use of and certain transactions involving the digital asset known as $ASTRA.
Please read these Token Terms carefully before acquiring, holding, transferring, staking, using or otherwise interacting with $ASTRA or any associated Astra protocol, smart contract, interface, application, service or ecosystem functionality.
$ASTRA involves substantial risk. Its value may fluctuate significantly and may fall to zero. $ASTRA may not always be transferable or liquid. Certain functionality may be modified, restricted, suspended or discontinued.
Nothing contained on any Astra website, application, social-media account, documentation, announcement or other communication constitutes investment, financial, legal, tax or other professional advice.
By accessing an Astra-controlled interface or voluntarily participating in an Astra program that expressly incorporates these Token Terms, you acknowledge that you have read and understood these Token Terms and agree to be bound by them.
Where separate affirmative acceptance, wallet signature, electronic signature or another form of consent is required, such separate acceptance shall govern.

PART I — NATURE OF $ASTRA
2. Nature and Intended Function of $ASTRA
$ASTRA is intended to operate as a crypto-asset used within or in connection with the Astra Ecosystem.
Depending on functionality made available from time to time, $ASTRA may be used in connection with ecosystem access, discounts, fees, staking or locking mechanisms, governance functionality, reward eligibility, protocol functionality, ecosystem participation or other utilities.
Except where expressly established under separate legally binding documentation:
- $ASTRA does not represent shares or equity in any Astra entity;
- $ASTRA does not represent debt owed by Astra;
- $ASTRA does not represent a deposit or bank account;
- $ASTRA does not confer ownership of Astra or any Astra entity;
- $ASTRA does not provide voting rights in the corporate governance of an Astra entity;
- $ASTRA does not create a partnership, joint venture, fiduciary relationship or agency relationship between a holder and Astra;
- $ASTRA does not guarantee any dividend, distribution, revenue share, yield, interest, profit or financial return;
- $ASTRA does not guarantee access to any particular product, service or functionality indefinitely; and
- ownership of $ASTRA does not, by itself, provide legal or beneficial ownership of assets held by Astra, its treasury, any reserve, any affiliate or any third party.
Any separate issuance of shares, securities, contractual investment rights or other financial instruments shall be governed exclusively by the documentation applicable to that transaction.
3. Regulatory Classification
Astra intends $ASTRA to function in accordance with its disclosed ecosystem purposes.
The legal or regulatory classification of a crypto-asset may vary between jurisdictions and may depend on its characteristics, manner of distribution, associated rights, representations made in connection with an offer, subsequent functionality and other relevant facts and circumstances.
No statement in these Token Terms should be interpreted as a representation or guarantee that $ASTRA will be classified identically under the laws of every jurisdiction.
Astra may modify access, functionality, availability, distribution methods or geographic eligibility where reasonably considered necessary to address applicable legal or regulatory requirements.
Where $ASTRA, a related transaction, or particular functionality becomes subject to regulatory requirements in a jurisdiction, Astra may impose additional conditions, suspend availability, restrict participation or take other appropriate measures.
PART II — NO INVESTMENT PROMISE
4. No Promise of Profit or Future Value
Astra does not guarantee:
- any future value of $ASTRA;
- any minimum market price;
- price appreciation;
- liquidity;
- trading volume;
- availability of any trading venue;
- listing or continued listing on any centralized or decentralized exchange;
- maintenance of any liquidity pool;
- profitability;
- returns;
- rewards;
- buybacks;
- burns;
- distributions;
- adoption;
- continued development of any particular feature; or
- any particular commercial outcome.
Statements concerning plans, roadmaps, proposed functionality, anticipated integrations, reserves, token economics, governance, utilities or future ecosystem development are forward-looking and may change.
Users should not acquire $ASTRA based on an expectation that Astra will increase, support, defend or maintain its market value.
5. No Financial Advice
Information provided by Astra is provided for informational and ecosystem-related purposes only.
Nothing published by Astra constitutes:
- investment advice;
- financial advice;
- securities advice;
- trading advice;
- legal advice;
- tax advice;
- an individualized recommendation;
- portfolio-management advice; or
- a guarantee regarding the suitability of $ASTRA for any person.
Each person is responsible for obtaining independent professional advice where appropriate.
PART III — TOKEN RISK DISCLOSURE
6. General Risk Warning
Crypto-assets are high-risk assets.
You should be prepared to lose some or all of the value associated with $ASTRA.
Without limitation:
- $ASTRA may lose part or all of its market value;
- $ASTRA may not always be transferable;
- $ASTRA may not always be liquid;
- markets for $ASTRA may cease to exist;
- blockchain networks may fail or experience congestion;
- smart contracts may contain vulnerabilities;
- third-party protocols may fail;
- legal requirements may change;
- access may become unavailable in certain jurisdictions;
- ecosystem functionality may change or cease;
- wallet credentials may be compromised;
- transactions may be irreversible; and
- technological, commercial or regulatory developments may materially affect $ASTRA.
Users must independently determine whether interacting with $ASTRA is appropriate for them.
7. Market and Liquidity Risk
$ASTRA may trade on decentralized or other third-party markets over which Astra does not have complete control.
Market prices may be affected by:
- supply and demand;
- liquidity;
- large holders;
- market sentiment;
- speculation;
- automated trading;
- broader crypto-market conditions;
- regulatory announcements;
- third-party conduct;
- exchange availability;
- smart-contract activity;
- macroeconomic events;
- technical failures; and
- circumstances unrelated to Astra.
Astra does not guarantee that a holder will be able to sell, transfer or exchange $ASTRA at a desired price or at all.
8. Smart Contract and Blockchain Risk
Use of $ASTRA involves blockchain infrastructure and smart contracts.
Potential risks include:
- programming errors;
- vulnerabilities;
- exploits;
- blockchain reorganizations;
- network outages;
- consensus failures;
- bridge exploits;
- oracle failures;
- wallet compromise;
- malicious smart contracts;
- private-key loss;
- transaction errors;
- network congestion;
- unexpectedly high transaction fees;
- forks;
- protocol upgrades; and
- other technological failures.
Blockchain transactions are generally irreversible.
Astra cannot recover assets transferred to an incorrect address or through an unauthorized transaction unless recovery is technically possible and Astra elects or is legally required to assist.
9. Third-Party Risk
Astra may integrate with or rely upon Third-Party Protocols.
Astra does not control and is not responsible for the continued operation, solvency, security, performance or conduct of independent third parties.
Use of Third-Party Protocols may be subject to separate terms and risks.
To the maximum extent permitted by law, Astra is not responsible for losses attributable to an independent third party, including an exchange, blockchain, wallet provider, decentralized exchange, bridge, custodian, liquidity provider, oracle or other external protocol.
PART IV — ECOSYSTEM EVOLUTION
10. Right to Develop and Modify the Ecosystem
The Astra Ecosystem is evolving technology.
To the extent permitted by applicable law and subject to any separate binding agreement, Astra may introduce, modify, migrate, replace, suspend or discontinue:
- utilities;
- products;
- smart contracts;
- token mechanics;
- supported networks;
- staking mechanisms;
- locking mechanisms;
- fee structures;
- rewards;
- eligibility requirements;
- tiers;
- governance systems;
- integrations;
- interfaces;
- protocols;
- buyback policies;
- burn mechanisms;
- treasury policies;
- reserve policies;
- liquidity arrangements;
- incentive programs;
- technical architecture; and
- other ecosystem functionality.
No holder has a permanent vested right to continuation of a particular utility, feature, reward, integration, trading venue, blockchain, economic mechanism or ecosystem feature merely because it existed at the time the holder acquired $ASTRA.
Nothing in this section permits Astra to eliminate a contractual or statutory right that cannot lawfully be waived or modified.
11. Upgrades, Forks and Contract Migration
Astra may migrate $ASTRA or associated functionality to a new smart contract, blockchain network, protocol version or technical architecture.
A migration may require users to take specified actions within a specified period.
Astra may establish eligibility requirements, migration procedures, snapshots, conversion formulas or other reasonable technical rules.
Old smart contracts or previous token versions may cease to be supported.
Where technically and legally appropriate, Astra may restrict obsolete contracts or interfaces following migration.
PART V — LEGACY TOKENS AND ASTRA MIGRATION
12. Legacy Allocations Do Not Guarantee One-for-One Migration
Participation in any historical presale, private allocation, promotional allocation, token distribution or other historical arrangement does not, by itself, guarantee a one-for-one conversion into a future version of $ASTRA.
The supply, denomination, economics, functionality and architecture of successor versions of $ASTRA may differ materially from previous versions.
Any Legacy Participant's rights remain subject to:
- the original agreement applicable to that participant;
- applicable vesting or transfer restrictions;
- subsequent valid amendments;
- applicable law;
- the Astra Migration Terms, where validly accepted; and
- any separate settlement, release, conversion or election agreement.
13. Migration Methodology
Where Astra establishes a migration or restructuring program, Astra may determine a migration methodology consistent with applicable contracts and applicable law.
Relevant factors may include:
- consideration originally paid;
- historical allocation terms;
- vesting;
- lockups;
- prior distributions;
- previous token transfers;
- amount already realized or received;
- contractual obligations;
- compliance requirements;
- tokenomics of the successor ecosystem;
- supply restructuring;
- technical requirements;
- agreed settlement arrangements; and
- other objectively relevant factors.
Accordingly, the number of successor $ASTRA tokens received may be lower or higher than the number of Legacy Tokens historically associated with a participant.
There is no assumption of token-for-token replacement unless Astra expressly confirms otherwise in binding migration documentation.
14. Alternative Migration Consideration
Where permitted by applicable law and expressly agreed between Astra and the relevant participant, a legacy allocation may be settled, replaced, restructured or converted using:
- successor $ASTRA tokens;
- another digital asset;
- cash or cash-equivalent consideration;
- contractual rights;
- shares or equity;
- other securities;
- another agreed form of consideration; or
- a combination thereof.
The form and amount of consideration may differ between participants based on their underlying contractual arrangements, eligibility, negotiated settlement or applicable legal requirements.
A holder has no entitlement to demand equity, cash, another asset or any particular migration treatment unless such right exists under a binding agreement.
15. Equity Is Separate From $ASTRA
Any transaction in which a Legacy Participant receives shares, equity or another security of an Astra-related entity shall constitute a separate transaction.
Such transaction may require:
- eligibility verification;
- KYC/AML review;
- accredited, professional or other investor status where applicable;
- securities-law compliance;
- representations and warranties;
- subscription documentation;
- shareholder documentation;
- transfer restrictions;
- tax documentation; and
- other legal requirements.
Holding $ASTRA does not entitle a person to Astra equity.
Receiving Astra equity under a separate agreement does not transform every $ASTRA token into equity or provide other token holders with corresponding shareholder rights.
16. Migration Acceptance and Release
Astra may require a Legacy Participant to affirmatively accept applicable Migration Terms before receiving replacement consideration.
Acceptance may occur through:
- electronic signature;
- wallet signature;
- platform acceptance;
- execution of a settlement agreement;
- execution of equity documentation; or
- another legally valid method.
Where expressly provided in the applicable migration or settlement agreement, acceptance of replacement consideration may constitute full and final settlement, release, replacement or extinguishment of specified legacy claims or entitlements.
No release shall extend beyond the scope expressly stated in the applicable agreement or beyond what applicable law permits.
PART VI — TRANSFER RESTRICTIONS AND PROTECTIVE MEASURES
17. $ASTRA May Not Always Be Transferable
Users acknowledge that $ASTRA may not always be transferable.
Transferability may be limited because of:
- smart-contract functionality;
- network conditions;
- security events;
- sanctions;
- legal requirements;
- court orders;
- regulatory requirements;
- contractual restrictions;
- vesting;
- migration;
- protocol upgrades;
- compliance investigations;
- wallet restrictions;
- technical errors;
- emergency protective measures; or
- circumstances outside Astra's control.
No representation is made that unrestricted transferability will exist continuously.
18. Protective Measures
Where reasonably considered necessary and technically possible, Astra may implement Protective Measures to preserve the lawful operation, security or integrity of the Astra Ecosystem.
Protective Measures may include:
- restricting an address;
- restricting access through Astra-controlled interfaces;
- temporarily delaying functionality;
- suspending access;
- freezing functionality associated with a wallet;
- enforcing vesting or transfer restrictions;
- pausing Astra-controlled smart-contract functionality;
- blocking participation in ecosystem features;
- preventing claims or distributions while an issue is investigated;
- restricting migrations;
- requiring additional verification; or
- taking another reasonable technical or operational measure.
Such actions remain subject to applicable law and technical feasibility.
19. Circumstances Supporting Restrictions
Protective Measures may be taken where Astra reasonably identifies or suspects circumstances including:
19.1 Fraud or Theft
A wallet appears associated with stolen assets, fraud, unauthorized transactions, phishing, hacking or other unlawful conduct.
19.2 Exploitation
A wallet is involved in exploiting or attempting to exploit a smart contract, protocol vulnerability, pricing malfunction, technical error or other system weakness.
19.3 Sanctions and Legal Requirements
Restriction is reasonably necessary to comply with sanctions, anti-money-laundering obligations, terrorism-financing controls, law-enforcement requests, court orders or other applicable legal requirements.
19.4 Contractual Restrictions
A person circumvents or breaches binding vesting, presale, allocation, migration, lockup or transfer restrictions.
19.5 Multi-Wallet Circumvention
Multiple addresses are used to circumvent contractual wallet limits, participation restrictions, vesting or other binding program rules.
19.6 Malicious Automation
Automated systems are used to exploit technical mechanisms or circumvent contractual restrictions.
19.7 Market Abuse
There is reasonable evidence of conduct prohibited as manipulation, wash trading, fraud or other market abuse under applicable law.
19.8 Compromised Wallets
A restriction is reasonably necessary to address credible evidence that an address, credential, administrator key or related system has been compromised.
19.9 Technical Emergency
Immediate intervention is reasonably required to mitigate a material security threat, malfunction or technical vulnerability.
20. Ordinary Selling Is Not Automatically Prohibited
Except where a holder is subject to a separate contractual transfer restriction, vesting requirement or applicable legal limitation, the mere sale or transfer of lawfully acquired $ASTRA does not, by itself, constitute prohibited conduct.
Astra's Protective Measures are intended to address objectively identifiable security, compliance, contractual, technical or unlawful conduct rather than ordinary lawful market activity.
21. Incidental Restrictions
Blockchain analysis, automated systems, interconnected wallets, smart-contract interactions and security incidents can produce incomplete or uncertain information.
A Protective Measure implemented in good faith may therefore temporarily affect an address or person later determined not to have participated in the underlying prohibited activity.
Astra may maintain restrictions while reasonably necessary to investigate a credible security, legal, contractual or compliance concern.
Astra will use commercially reasonable efforts to review credible evidence demonstrating a material factual or technical error.
To the maximum extent permitted by applicable law, Astra shall not be liable solely because a good-faith Protective Measure reasonably implemented in response to an actual or suspected security, compliance, contractual, legal or technical event temporarily affected an unrelated person or wallet.
22. No Guaranteed Access to Astra Interfaces
Ownership of $ASTRA does not guarantee access to Astra-controlled websites, interfaces, applications, products or services.
Astra may restrict access based on:
- geographic location;
- legal eligibility;
- sanctions;
- KYC/AML requirements;
- age;
- regulatory restrictions;
- product eligibility;
- security concerns;
- contractual violations; or
- other lawful reasons.
A user's ability to interact independently with a decentralized blockchain or smart contract through third-party tools may differ from access through an Astra-controlled interface.
PART VII — COMPLIANCE
23. KYC, KYB and AML
Astra may require identity or business verification in connection with particular activities.
Requirements may include:
- KYC;
- KYB;
- source-of-funds information;
- source-of-wealth information;
- sanctions screening;
- wallet screening;
- beneficial-owner information;
- tax documentation;
- jurisdiction verification; and
- additional compliance information.
Failure to provide required information may result in ineligibility for the relevant service, distribution, migration, claim, redemption or other functionality.
Failure to complete KYC does not, by itself, automatically transfer legal ownership of a person's property to Astra unless such consequence is expressly established in a legally enforceable agreement and permitted by applicable law.
24. Sanctions
Users must not use Astra-controlled services in violation of applicable sanctions or export-control laws.
Astra may restrict or refuse interactions involving persons, entities, addresses or jurisdictions where reasonably required by applicable sanctions requirements.
Astra may cooperate with competent authorities as legally required.
25. Prohibited Conduct
Users may not knowingly use Astra-controlled infrastructure to:
- commit fraud;
- steal assets;
- launder money;
- finance terrorism;
- evade sanctions;
- exploit smart contracts;
- compromise infrastructure;
- impersonate Astra;
- distribute malicious software;
- circumvent binding contractual restrictions;
- manipulate Astra-controlled systems;
- submit knowingly false compliance information; or
- engage in other unlawful conduct.
PART VIII — RESERVES, BUYBACKS AND BURNS
26. Astra Reserve
Astra may allocate ecosystem or protocol revenue toward treasury or reserve strategies.
Unless separate binding documentation expressly provides otherwise:
- assets held in an Astra treasury or reserve remain assets of the applicable legal owner of that reserve;
- holding $ASTRA does not automatically create legal or beneficial ownership in reserve assets;
- reserve assets are not held on deposit for token holders;
- reserve assets do not constitute a guaranteed redemption pool;
- reserve composition may change;
- reserve policies may change; and
- Astra does not guarantee the value or performance of reserve assets.
References to an “RWA Reserve,” “Reserve,” “Treasury” or similar terminology should not be interpreted as granting token holders ownership rights that have not expressly been legally established.
27. Real-World Assets
Astra may obtain exposure to tokenized or traditional assets, including financial or real-world assets, where legally and operationally appropriate.
Any examples of potential reserve assets are illustrative unless expressly confirmed as current holdings.
Users acknowledge that real-world and tokenized assets involve additional:
- market risk;
- issuer risk;
- counterparty risk;
- custody risk;
- regulatory risk;
- liquidity risk;
- valuation risk;
- blockchain risk; and
- jurisdictional risk.
28. No Automatic Redemption Right
Holding $ASTRA does not create a right to redeem $ASTRA for reserve assets, cash, securities or other property unless Astra expressly creates such right under separate binding documentation.
Any future redemption functionality may be subject to:
- separate terms;
- eligibility;
- jurisdictional restrictions;
- KYC/AML;
- technical requirements;
- regulatory requirements;
- liquidity;
- fees;
- minimum or maximum amounts;
- suspension rights; and
- other conditions.
A proposed or contemplated redemption mechanism does not become legally enforceable merely because it appears in a roadmap, discussion, governance proposal or marketing communication.
29. Buybacks
Astra may conduct token purchases or buybacks under an announced mechanism or policy.
Unless expressly established by binding documentation:
- buybacks are not guaranteed;
- timing is not guaranteed;
- amounts are not guaranteed;
- execution price is not guaranteed;
- continued operation is not guaranteed; and
- no holder should acquire $ASTRA in reliance upon a future buyback.
Astra may modify or discontinue a buyback program where permitted by applicable law and applicable contractual commitments.
30. Burns
$ASTRA may be permanently removed from circulation through burn mechanisms.
Burning tokens does not guarantee that the market price of remaining $ASTRA will increase.
Past or future burns should not be interpreted as a promise of appreciation or return.
PART IX — STAKING, LOCKING, ASTRA POWER AND REWARDS
31. Locking and Astra Power
Astra may permit holders to voluntarily lock $ASTRA to obtain ecosystem status, access, voting functionality, rewards, discounts, allocation priority or other benefits.
Specific mechanics are governed by the applicable program terms.
Locking $ASTRA may involve restrictions on transferability and may expose participants to smart-contract, liquidity and market risk.
32. Rewards
Rewards, claims, distributions, allocations and ecosystem benefits:
- may vary;
- may be conditional;
- may require eligibility;
- may require active claiming;
- may expire where lawfully established in advance;
- may be unavailable in certain jurisdictions;
- may be modified prospectively;
- may have tax consequences; and
- are not guaranteed unless expressly stated in binding program terms.
Past rewards do not create an entitlement to future rewards.
PART X — TAXES
33. Tax Responsibility
Acquisition, sale, migration, receipt, transfer, staking, locking, burning, redemption or other use of $ASTRA may create tax consequences.
Users are solely responsible for determining and satisfying their own tax obligations.
Astra does not provide individual tax advice.
Astra may collect or report information where legally required.
PART XI — ELIGIBILITY AND JURISDICTIONS
34. Legal Eligibility
You are responsible for determining whether your interaction with $ASTRA is lawful in your jurisdiction.
Astra may impose jurisdiction-specific terms, disclosures or restrictions.
The availability of an Astra website globally does not mean that every product, token transaction, promotion or service is offered lawfully or made available in every jurisdiction.
35. Restricted Jurisdictions and Persons
Astra may prohibit or restrict participation by persons or entities from jurisdictions where participation would:
- violate applicable law;
- require authorization that Astra does not possess;
- expose Astra to disproportionate legal or regulatory obligations;
- violate sanctions; or
- otherwise create material compliance risk.
Restrictions may differ between products and may change as laws evolve.
36. United States
The regulatory treatment of crypto-assets and transactions involving crypto-assets in the United States depends on their characteristics and the manner in which they are offered, sold and used.
Nothing in these Token Terms constitutes an offer of securities.
Where a particular transaction constitutes or involves a security or other regulated financial instrument, such transaction may be offered only pursuant to appropriate separate documentation and in compliance with applicable law.
Any issuance or conversion involving Astra company equity shall be separate from ordinary $ASTRA functionality.
37. European Union and EEA
Where applicable, Astra will apply jurisdiction-specific requirements relating to crypto-assets, including requirements concerning disclosures, marketing, eligibility and other obligations.
Users should understand that:
- $ASTRA may lose part or all of its value;
- $ASTRA may not always be transferable;
- $ASTRA may not be liquid;
- crypto-assets may not be protected by investor-compensation arrangements applicable to traditional investments; and
- crypto-assets are not deposits merely because they have a market value.
Where a legally required crypto-asset white paper applies, the white paper and legally mandated disclosures shall take precedence over inconsistent general marketing descriptions.
38. United Kingdom
Availability of information concerning $ASTRA does not mean every service or promotion is available to every UK person.
Any communication or offering directed toward UK consumers will be subject to applicable UK requirements.
Astra may therefore restrict UK access, purchasing functionality, onboarding, promotional communications, rewards, incentives or other functionality where required.
39. Other Jurisdictions
Crypto-asset laws differ significantly around the world.
Astra may create localized rules, restrictions or disclosures for particular territories without applying identical restrictions globally.
Different treatment resulting from applicable law or regulatory requirements does not create an entitlement for users in one jurisdiction to receive treatment available in another jurisdiction.
PART XII — INTELLECTUAL PROPERTY AND IMPERSONATION
40. Astra Intellectual Property
Astra names, brands, trademarks, logos, interface designs, content and proprietary technology remain the property of their respective legal owners.
Ownership of $ASTRA provides no intellectual-property license except as expressly stated.
41. Official Contract Addresses
Users are responsible for verifying that they are interacting with an official $ASTRA contract address.
Third parties may create tokens with similar names or symbols.
Astra is not responsible for counterfeit tokens, impersonation projects or assets acquired through unofficial contract addresses.
PART XIII — LIMITATION OF LIABILITY
42. Assumption of Risk
By interacting with $ASTRA, you acknowledge the technological, regulatory, liquidity, market and operational risks described in these Token Terms.
You remain responsible for decisions concerning your digital assets and wallet security.
43. No Warranty
To the maximum extent permitted by applicable law, $ASTRA and Astra-controlled protocol functionality are provided on an “as is” and “as available” basis.
Astra does not warrant that:
- functionality will be uninterrupted;
- software will be error-free;
- smart contracts will never be exploited;
- third-party infrastructure will remain available;
- market liquidity will remain available;
- $ASTRA will retain any particular value;
- every feature will be implemented; or
- every jurisdiction will continue permitting the same functionality.
44. Limitation of Liability
To the maximum extent permitted by applicable law, Astra and its affiliates, directors, officers, employees, contractors and agents shall not be liable for indirect, incidental, special, punitive, exemplary or consequential loss arising from interaction with $ASTRA or the Astra Ecosystem.
This includes, where legally excludable, losses resulting from:
- market movements;
- lost profits;
- loss of opportunity;
- loss of data;
- blockchain failure;
- smart-contract failure;
- third-party protocol failure;
- unauthorized wallet access;
- user error;
- regulatory changes;
- network disruption;
- liquidity conditions;
- token migration;
- good-faith Protective Measures;
- independent exchange actions; or
- circumstances outside Astra's reasonable control.
Nothing in these Token Terms excludes or limits liability where such liability cannot legally be excluded or limited.
44A. Limitation of Recovery for Legacy Participants
To the maximum extent permitted by applicable law, and except where a separate binding agreement expressly provides otherwise, the aggregate contractual monetary liability of Astra arising out of or relating to any historical presale, private allocation, token allocation, migration, restructuring, replacement or discontinuation shall not exceed the relevant Legacy Participant's Net Unrecovered Contribution.
For purposes of these Token Terms, “Net Unrecovered Contribution” means the actual amount of money or other consideration originally paid by the Legacy Participant to Astra for the relevant historical allocation, less the aggregate value actually received or realized by that Legacy Participant in connection with such allocation.
Value received or realized may include, where reasonably ascertainable, proceeds from the sale or disposal of Legacy Tokens or successor tokens, cash or cash-equivalent distributions, redemption or buyback proceeds, migration or settlement consideration, digital assets or other property received, consideration received through an agreed equity conversion, or other economic value directly attributable to the relevant historical allocation.
For the avoidance of doubt, increases in the historical, current, peak, projected or theoretical market value of any token shall not increase Astra's maximum contractual monetary liability. To the maximum extent permitted by applicable law, no damages shall be calculated by reference to unrealized gains, historical all-time-high prices, hypothetical sale prices, lost appreciation, lost trading opportunities, anticipated profits, projected returns, expected liquidity or other speculative or consequential valuations.
Where the value already received or realized by a Legacy Participant equals or exceeds the amount originally contributed, the participant's Net Unrecovered Contribution shall be zero.
A Legacy Participant shall not be entitled to duplicate recovery or to recover the same economic loss more than once.
This section establishes a limitation of liability only and does not create, acknowledge or imply any independent right or entitlement to a refund, reimbursement, compensation, redemption or payment.
Nothing in this section excludes or limits liability to the extent such liability cannot lawfully be excluded or limited under applicable law.
45. Force Majeure
Astra shall not be responsible, to the maximum extent permitted by law, for failure or delay caused by circumstances beyond its reasonable control, including:
- blockchain failure;
- internet failure;
- cyberattack;
- war;
- terrorism;
- civil unrest;
- natural disaster;
- government action;
- sanctions;
- regulatory intervention;
- telecommunications failure;
- exchange failure;
- protocol failure;
- infrastructure failure; or
- similar events.
PART XIV — NO FIDUCIARY RELATIONSHIP
46. Relationship With Holders
Except where expressly established under separate documentation, Astra does not act as trustee, fiduciary, investment manager, financial adviser, broker or agent for $ASTRA holders merely because they hold or interact with $ASTRA.
Nothing in these Token Terms creates a partnership, joint venture or fiduciary relationship.
PART XV — GOVERNANCE
47. Token Governance
Astra may introduce decentralized or token-based governance mechanisms.
Unless expressly stated otherwise, ecosystem governance does not constitute corporate shareholder governance.
Token-based voting may be:
- advisory;
- limited to specific protocol matters;
- subject to technical requirements;
- subject to eligibility requirements; or
- restricted where legally necessary.
Astra may retain authority concerning matters that cannot lawfully or practically be delegated to token holders.
PART XVI — COMMUNICATIONS AND THIRD-PARTY STATEMENTS
48. Official Communications
Only information published through officially designated Astra channels should be treated as official Astra communications.
Statements by:
- community members;
- influencers;
- independent token holders;
- third-party exchanges;
- unaffiliated developers;
- social-media users; or
- unofficial groups
do not bind Astra unless expressly authorized.
49. Forward-Looking Statements
Roadmaps, projections, development plans, potential integrations, proposed products and other forward-looking statements involve uncertainty.
Actual implementation may differ materially.
No roadmap creates a contractual obligation unless expressly incorporated into binding documentation.
PART XVII — CHANGES TO THESE TOKEN TERMS
50. Updates
Astra may update these Token Terms where reasonably necessary to reflect:
- legal developments;
- regulatory requirements;
- security considerations;
- technological changes;
- ecosystem changes;
- new functionality; or
- operational requirements.
Material updates will be published through an appropriate Astra-controlled channel.
Updates will apply prospectively where required by applicable law.
Where affirmative consent is legally or contractually required, Astra will seek such consent.
Changes to these Token Terms do not retroactively eliminate rights that cannot lawfully be modified without consent.
PART XVIII — CONFLICT BETWEEN DOCUMENTS
51. Priority
If there is a conflict between these general Token Terms and a separately executed binding agreement concerning:
- a presale;
- migration;
- settlement;
- equity conversion;
- private allocation;
- vesting;
- partnership;
- employment;
- advisory services; or
- another specific arrangement,
the specific agreement shall govern the subject matter addressed by that agreement, unless otherwise stated.
Mandatory applicable law shall prevail where it cannot lawfully be varied by contract.
51A. Historical Terms, Supersession and Preservation of Rights
These Token Terms constitute Astra's current master public legal framework governing $ASTRA and supersede prior publicly published general token terms, disclaimers, policies and legal notices relating to $ASTRA or predecessor versions of the Astra token, except to the extent expressly stated otherwise below.
The replacement, removal, archival or discontinuation of any previous Astra website, documentation portal, legal page, token page or other public resource does not invalidate, waive, release or extinguish any right, obligation, restriction, breach, remedy, vesting condition, compliance requirement or contractual consequence that arose while the applicable prior terms were in effect.
Conduct occurring before the effective date of these Token Terms may continue to be assessed under the terms, policies, restrictions and agreements applicable to that conduct at the relevant time.
Without limitation, Astra expressly preserves, to the maximum extent permitted by applicable law:
- rights arising from historical presale terms;
- allocation and vesting restrictions;
- KYC, KYB, sanctions and compliance requirements;
- wallet restrictions validly imposed under previous terms;
- remedies relating to circumvention of presale or allocation limits;
- rights arising from multi-wallet abuse;
- contractual restrictions applicable to partners, advisers, influencers or private allocation recipients;
- claims arising from fraud, exploitation, misrepresentation or breach;
- rights associated with historical token migrations or distributions; and
- any other accrued contractual or legal rights.
From the effective date of these Token Terms, continued voluntary use of Astra-controlled interfaces, participation in Astra programs expressly incorporating these Token Terms, or other legally sufficient manifestation of acceptance shall be governed by these Token Terms.
Where Astra requires affirmative acceptance, wallet signature, electronic signature, migration election or execution of separate documentation, that acceptance or documentation shall additionally govern the relevant transaction.
A separately executed presale, allocation, settlement, migration, equity, advisory, partnership or other binding agreement shall continue to govern the specific subject matter addressed by that agreement unless it has been validly replaced, amended, settled or terminated.
Nothing in these Token Terms shall be interpreted as voluntarily waiving any accrued right or remedy of Astra unless such waiver is expressly stated in writing.
If a provision of historical terms conflicts with these Token Terms regarding conduct occurring after the effective date, these Token Terms shall govern unless a separate binding agreement provides otherwise.
Mandatory rights or obligations imposed by applicable law remain unaffected.
PART XIX — SEVERABILITY AND ENFORCEMENT
52. Severability
If a provision of these Token Terms is held invalid, illegal or unenforceable in a particular jurisdiction, that provision shall be interpreted or limited to the minimum extent necessary to make it enforceable where possible.
The remaining provisions shall continue in effect.
Invalidity in one jurisdiction does not automatically render the same provision invalid elsewhere.
53. No Waiver
Failure by Astra to enforce a provision immediately does not constitute a permanent waiver of that provision or of Astra's right to enforce it later.
54. Reservation of Rights
Except for rights expressly granted to users under binding agreements or applicable law, Astra reserves all rights relating to the operation, security, development and lawful administration of the Astra Ecosystem.
Nothing in these Token Terms waives a legal right or remedy available to Astra unless expressly stated.
PART XX — GOVERNING LAW AND DISPUTES
55. Governing Law
These Token Terms shall be governed by and construed in accordance with the laws of the Cayman Islands.
Mandatory consumer protections or statutory rights that cannot lawfully be excluded remain unaffected.
Where a separate agreement applies, the governing-law and dispute-resolution provisions in that agreement may supersede this section for matters covered by that agreement.
PART XXI — IMPORTANT FINAL WARNINGS
56. No Guarantee of Regulatory Treatment
Laws governing crypto-assets continue to evolve.
Past or current regulatory treatment does not guarantee future treatment.
Astra may modify, restrict or discontinue functionality where reasonably necessary to respond to regulatory developments.
57. No Deposit Protection
$ASTRA is not a bank deposit.
Unless expressly required by applicable law, $ASTRA is not protected by a bank deposit-guarantee scheme merely because a holder acquired or uses it through the Astra Ecosystem.
58. No Guaranteed Investor Compensation
Crypto-assets may not benefit from investor-compensation protections applicable to certain regulated financial products.
Users should not assume that losses will be reimbursed by Astra, a government, regulator, compensation scheme or other person.
